These Terms of Use (the “Terms” or this “Agreement”) govern access to and use of the websites, online stores, and services operated by ASPRI Creative Acoustics Inc. (“ASPRI”, “we”, “us”, “our”) and apply to purchases of ASPRI products. By accessing or using the Website, creating an account, or placing an order, you agree to be legally bound by these Terms. If you do not agree, do not use the Website.

2. Definitions

• Website: any site, page, store, checkout, portal, or domain controlled by ASPRI.
• Services: Website functionality, support, documentation, and related online tools.
• Products: ASPRI devices and accessories, including the ASPRI Clip‑On Reverb for nylon‑string and steel‑string guitars.
• Order: your purchase of Products through the Website or other authorized channels.
• Consumer: an individual acting for purposes outside their trade, business, craft, or profession.
• Personal Data: information relating to an identified or identifiable natural person.
• Distance Contract: a consumer contract concluded without the parties being physically together, where applicable law so defines.

3. Acceptance & Updates

By accessing the Website, creating an account, or placing an Order, you accept these Terms and the Incorporated Policies, confirm you have authority to bind yourself or your organization, and consent to receive notices electronically. We may update these Terms at any time; changes take effect when posted with an updated “Last Updated” date. If required by law, we will give additional notice or obtain consent. Your continued use after changes means you accept them.

4. Eligibility & Minors

You must be able to enter a binding contract. If you are under the age of majority in your jurisdiction, use must be supervised by a parent or legal guardian who accepts these Terms. We do not knowingly collect Personal Data from children under 13 and will delete it if discovered.

5. Accounts, Accuracy & Security

Provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your credentials. Notify us immediately of any unauthorized use. We may suspend or terminate accounts, refuse or cancel Orders, or remove content if we suspect fraud, abuse, or breach of these Terms or law.

6. Product Use & Compatibility

• Models. Dedicated models for nylon‑string (classical/flamenco) and steel‑string acoustics.
• Fit. Fits most guitars where the distance from saddle to the lower‑bout edge is ≤ 216 mm. Not compatible with split or highly compensated saddles. Use on incompatible saddles may reduce performance; it does not damage the unit.
• Power‑free. Fully mechanical—no batteries, electronics, magnets, adhesives, or permanent modifications.
• Care. Attach/detach gently following our Clip‑On Guide. Soft, mark‑free contact pads protect finishes when used correctly.
• Tuning. String length shortens by ~2 mm after clipping on; retune for best results.

7. Intellectual Property

The Website, Products, designs, photographs, videos, software, text, graphics, logos, and all other materials are owned by ASPRI or its licensors and protected by intellectual‑property laws. “ASPRI”, “ASPRI Clip‑On Reverb”, and related logos/trade dress are trademarks of ASPRI Creative Acoustics Inc. You receive a limited, revocable, non‑exclusive, non‑transferable license to access the Website for personal, non‑commercial use. Any unauthorized use is prohibited.

8. Image & Media Rights

Some images and videos feature artists who have granted ASPRI permission to display their likeness and content. Other media may be used under Creative Commons or similar licenses with attribution when required. If you believe any material is used in error or without proper attribution, contact info@aspri.com; we will investigate and, if appropriate, correct attribution or remove the material.

9. User Content & Feedback

By submitting reviews, photos, videos, testimonials, ideas, or other content (“User Content”), you grant ASPRI a worldwide, non‑exclusive, perpetual, irrevocable, royalty‑free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content for legitimate business purposes. You represent you own or control all rights in the content and that it does not infringe others’ rights or violate law. We may moderate, edit, or remove User Content at our discretion.

10. Prohibited Conduct

• Illegal, fraudulent, harmful, infringing, defamatory, obscene, or abusive activity or content.
• Unauthorized access, scanning, or testing of systems or networks; interference with security or availability.
• Use of bots, scrapers, or other automated means to access or extract data.
• Framing or embedding the Website without written permission.

11. Pricing; Orders; Taxes; Duties; Resale

Prices, fees, and availability appear at checkout and may change before you place an Order. You authorize us and our processors (e.g., PayPal) to charge the amounts shown. You are responsible for all taxes, VAT/GST, import duties, brokerage, and customs fees. We may reject, limit, or cancel Orders (including suspected fraud or abuse). Resale permitted: you may resell Products you purchase from us; however, you may not present yourself as an authorized ASPRI dealer, set up warranty service on behalf of ASPRI, or use ASPRI trademarks in a way that implies sponsorship or endorsement without our written permission. 12. Shipping, Title & Risk of Loss

We ship worldwide to locations supported by our carriers (currently Chit Chats and/or NetParcel). Title and risk of loss transfer to you upon delivery to the carrier. Transit times are estimates only. Tracking and shipment insurance are included. All duties, taxes, initial and return shipping, brokerage, and re‑delivery fees are your responsibility. 13. Returns & Warranty

• 60‑Day Money‑Back. Return within 60 days of delivery for a refund of the product price if you are not satisfied. All shipping, duties, taxes, and brokerage (outbound and return) are yours and non‑refundable. Returned units must include all parts and be in good condition. See the Refund & Returns Policy.
• 5‑Year Limited Warranty. Defects in materials and workmanship under normal use are covered for five (5) years from delivery. Remedy is repair or replacement at our option. Normal wear (for example, cosmetic scuffs, pad compression/aging, finish rub at contact points, and spring character changes within design tolerances) is not a defect. Exclusions include misuse, improper attachment contrary to the guide, use with incompatible saddles causing performance issues, accidents, or unauthorized modifications. See the Limited Warranty.

14. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN OUR LIMITED WARRANTY OR AS REQUIRED BY LAW, THE WEBSITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. ASPRI disclaims all warranties and conditions, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non‑infringement, and those arising from course of dealing or usage of trade. We do not guarantee uninterrupted, secure, or error‑free operation, or that defects will be corrected.

15. Limitation of Liability

To the fullest extent permitted by law, ASPRI and its directors, officers, employees, agents, contractors, and affiliates are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including lost profits, revenue, goodwill, or data), whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility. In all cases, ASPRI’s total liability for any claim arising out of or relating to a Product, the Website, or the Services will not exceed the amount you paid to ASPRI for the Product or service that gave rise to the claim. Nothing limits liability that cannot be limited by law.

16. Consumer Protections (including Quebec)

Mandatory provisions of the laws of your residence may grant non‑waivable rights. For Quebec consumers: (i) clauses requiring exclusive arbitration, specifying a venue outside your district, or stating that only a language other than French applies may be null or unenforceable under the Consumer Protection Act; and (ii) legal warranties provided by law apply in addition to our Limited Warranty. Nothing in these Terms limits those rights.

17. Dispute Resolution; Arbitration; Opt‑Out

Informal resolution. Contact info@aspri.com first; we will work in good faith to resolve issues quickly.

Arbitration (non‑Quebec consumers, subject to mandatory law). Except where prohibited by law or where you are a Quebec consumer, disputes will be resolved by confidential, binding arbitration on an individual basis before a mutually agreed provider under its consumer rules, seated in Montreal, Quebec. Either party may seek court relief for intellectual‑property misuse. No class or representative actions.

Opt‑out. You may opt out within 30 days of first accepting these Terms by emailing info@aspri.com or mailing ASPRI Creative Acoustics Inc., 2620A Rue de Salaberry, Montreal, QC H3M 1L3, Canada, Attn: Legal. Include your name, address, email, and a statement that you opt out of arbitration.

Quebec consumers. You may bring disputes in the competent court of your domicile. Any clause that deprives you of this right is unenforceable.

18. Governing Law & Venue

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict‑of‑law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Subject to Section 17, the courts of the judicial district of Montreal have exclusive jurisdiction, except where mandatory local consumer law provides otherwise.

19. Compliance; Export; Sanctions

You will comply with all applicable import/export, customs, and sanctions laws of Canada, the United States, the European Union, and destination countries. We may reject, cancel, or hold Orders to comply with sanctions or screening requirements and will not ship to embargoed or prohibited destinations.

20. Third‑Party Services

The Website may integrate or link to third‑party services (for example, PayPal payments, Google Analytics, social media, video embeds). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third‑party content, security, or practices.

21. Language

English, French, and Spanish versions of these Terms will be provided and are intended to be equivalent. Where a consumer‑protection law requires, the version in the consumer’s language prevails. For Quebec consumers, the French version prevails where required by law.

22. Severability; No Waiver; Assignment

If any provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign to an affiliate or acquirer.
